1. Acceptance of Terms

By accessing our website or engaging the services of Krivex Intelligence ("the Company"), you agree to be bound by these Terms and Conditions. These terms govern our professional relationship regarding AI-powered enterprise intelligence, data engineering, and intelligent automation services.

2. Scope of Services

Krivex Intelligence provides specialized technology consulting and development, including but not limited to:

• Enterprise AI Development: RAG-based intelligence systems, Agentic AI, and LLM integrations.
• Data Engineering: Snowflake integration, cloud-native analytics infrastructure, and semantic search architecture.
• Intelligent Automation: Workflow orchestration, automated reporting, and AI-driven operational intelligence.
• Platform Access: Licensing and support for the Krivex Intelligence Enterprise Intelligence Platform.

3. Intellectual Property Rights

Our engagement involves distinct layers of intellectual property:

• Client Data: You retain all rights to your proprietary data, internal documents, and pre-existing intellectual property shared with us.
• Krivex Intelligence Frameworks: We retain ownership of our proprietary algorithms, base code, and methodology used to build your custom solutions, unless otherwise specified in a written Statement of Work (SOW).
• Deliverables: Upon full payment, you are granted a license to use the specific custom AI implementations and dashboards developed for your organization.

4. Professional Responsibilities

Krivex Intelligence commits to providing services led by our Chief AI/Data Architect, Pramath Parashar, ensuring high-level technical R&D and architectural integrity. While we strive for 100% accuracy in AI outputs, clients acknowledge that AI-generated insights are probabilistic and should be verified for critical business decisions.

5. Confidentiality & Security

We handle sensitive enterprise data with the highest security standards. We implement data governance controls and secure access systems as part of our cloud-native infrastructure. Both parties agree to protect "Confidential Information" with the same degree of care as their own proprietary information.

6. Payment & Fees

Services are billed according to the agreed-upon project milestones or subscription tiers for the Krivex Intelligence Platform. Invoices are due within 30 days of issuance. Krivex Intelligence reserves the right to suspend platform access or development services in the event of overdue payments.

7. Limitation of Liability

Krivex Intelligence shall not be liable for any indirect, incidental, or consequential damages resulting from the use of AI models, including but not limited to data hallucinations, third-party LLM outages (e.g., AWS, OpenAI), or infrastructure failures beyond our direct control.

8. Termination

Either party may terminate a service agreement with written notice if the other party breaches these terms. Upon termination, the client shall pay for all work completed up to the termination date, and Krivex Intelligence will provide all agreed-upon documentation or data exports.

9. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
